End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and Agentive Group Co Pty Ltd (ABN 54 695 269 222) ("Agentive Group", "we", "us"), an Australian company, for the use of the Agentive Invoice Dashboard platform and related services ("Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. Licence Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. This licence does not include the right to sublicence, resell, or distribute the Service.

2. Account Registration

To use the Service, you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable Australian law
  • Attempt to gain unauthorised access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code, spam, or harmful content
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service except through our provided APIs
  • Upload content that infringes the intellectual property rights of any third party

4. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Agentive Group or its licensors and is protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth). Nothing in this Agreement transfers any intellectual property rights to you.

5. Your Data

You retain ownership of all data you upload to or process through the Service ("Your Data"). You grant us a limited licence to use Your Data solely for the purpose of providing and improving the Service. We will handle Your Data in accordance with our Privacy Policy and the Privacy Act 1988 (Cth), including the Australian Privacy Principles.

6. Third-Party Integrations

The Service may integrate with third-party services including Google (Gmail), Intuit (QuickBooks), Slack, and others. Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or practices of any third-party services.

7. Service Availability

We endeavour to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. We may suspend or modify the Service at any time for maintenance, updates, or other operational reasons. We will use reasonable efforts to provide advance notice of planned downtime.

8. Fees and Payment

Certain features of the Service may require payment. All fees are quoted in Australian Dollars (AUD) and are inclusive of GST unless otherwise stated. Payment terms will be specified at the time of purchase. We reserve the right to change our fees upon reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)):

  • The Service is provided "as is" and "as available" without warranties of any kind, except those that cannot be excluded under Australian Consumer Law.
  • Our total liability for any claim arising from or related to this Agreement shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

10. Indemnification

You agree to indemnify and hold harmless Agentive Group, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of this Agreement.

11. Termination

Either party may terminate this Agreement at any time. We may suspend or terminate your access immediately if you breach this Agreement. Upon termination, your right to use the Service ceases. We will make Your Data available for export for a reasonable period (30 days) following termination, after which we may delete it.

12. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

13. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.

14. General

  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Agentive Group regarding the Service.
  • Waiver: A failure to exercise any right under this Agreement shall not constitute a waiver of that right.
  • Assignment: You may not assign your rights under this Agreement without our prior written consent. We may assign our rights and obligations without restriction.
